The Extraordinary Annual General Assembly Agenda:

• Hearing and approving the performance report of the board of directors, reviewing the balance sheet and the inspector’s statement on the activities of the joint chamber up to the fiscal year 1399 (March 2020- March 2021)
• Determining the entrance fee and the annual membership fee of the members
• Choosing a widely circulated newspaper
• Election of Chief Inspector and Substitute Inspector (for one year: Article 40 of the statute)
• Review and decide on other matters that are within the scope of the General Assembly’s annual general duties.

Considering that this is the second time the Assembly will be repeated on November 23, 2021, according to the articles of Statute: Article17 – How to hold the assemblies: with the presence of any number of esteemed members, it will be formal and will be able to make decisions and issue enactments.

Members of the Board of Directors were assigned to the following positions:

Position determination:

• Ms. Leila Rostami GhalehLani was elected to the position of Chairwoman of the Board of Directors and she accepted.
• Mr. Hasan Forouzanfard, and Mr. Hooman Babaei Zad Khamen were elected respectively as first and second Vice-chairmen and they accepted.
• Mr. Mohammad Etlaghi was elected as Treasurer of the chamber and he accepted.

Determining Board members who have the right to sign:

• All obligatory financial documents shall be valid with the signature of the Chairwoman of the Board or co-signature of one of the Vice-Chairmen and Treasurer shall be valid with the seal of Iran, Belgium, and Luxembourg Chamber of Commerce and Industries.
• All administrative and ordinary papers and correspondence shall be valid with the signature of the Chairman of the Board of Directors or one of the Vice-Chairmen with the seal of Iran, Belgium, and Luxembourg Chamber of Commerce and Industries.

A: The Board of Directors’ performance report for the financial year of 2019 was read and approved by the Assembly.

B: The financial report of 1394 (March 2015- March 2016) was read and approved by the Assembly.

C: The financial report of 1395 (March 2016- March 2017) was read and approved by the Assembly.

D: The Ettela’at newspaper was designated as a multitudinous published newspaper for Publishing relevant notices and advertisements.

E: The election of the Board of Directors was carried out in which Mr. Mansoor Athari Nik Azm, Mr. Hooman Babaei Zad Khamen, Mr. Mohammad Etlaghi, Mr. Hasan Forouzanfard, and Ms. Leila Rostami Ghalehlani were elected as main members of the Board of Directors for 3 years. Also, Mr. Mohammad Kashani and Mr. Hadi Naserpour were elected respectively as first and second substitute members of the board, and Mr. Omid Malek, and Mr. Seyed Ahmad Hoseyni were elected respectively as inspector and substitute inspector.

F: The Assembly delegated its authority to the Board of Directors regarding the determination of the entry fee and the membership fee, which should be adjusted and determined at its discretion.

However, due to the failure in ensuring the fairness of the board elections, including non-compliance with Article 28 of the statute, in the absence of some board candidates and the failure of their legal representatives in representing them (despite having a proxy letter) and complaints and protests by candidates, in order to avoid further disputes, it was decided to re-hold the Extraordinary General Assembly with the following agenda on 19/1/2021 at 14:30 in the Iran Chamber under the direct supervision of the officials of the Iran Chamber.
